1. Agreement to Terms

By accessing or using OpenAlan ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

The Service is operated by heySPRK LLC ("Company," "we," "us," or "our").

2. Description of Service

OpenAlan is an AI-powered employee platform that provides:

• AI Assistant Capabilities: Autonomous task execution, scheduling, research, and workflow automation
• Integration Services: Connections to third-party platforms (email, calendar, messaging apps, etc.)
• Voice Interface: Voice-activated commands via Telegram and other supported channels
• Browser Automation: Web-based task execution on your behalf

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service.

3.2 Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities under your account
• You must notify us immediately of any unauthorized use

4. Subscription & Payment

Current pricing is available at openalan.ai. Subscriptions are billed monthly or annually in advance. All fees are in US dollars.

4.1 Refunds

• Monthly plans: No refunds for partial months. Cancel anytime.
• Annual plans: Pro-rated refund available within 14 days of purchase.

5. Cancellation

You may cancel at any time through account settings or by contacting support@openalan.ai. Access continues until the end of your billing period. Your data is retained for 30 days, then deleted.

6. Acceptable Use Policy

You may NOT use OpenAlan for:

• Illegal activities or fraud
• Generating spam, malware, or phishing content
• Harassing, threatening, or defamatory content
• Violating third-party terms of service
• Circumventing usage limits or security measures

7. Intellectual Property

You retain ownership of content you create. Content generated by OpenAlan on your behalf belongs to you, subject to third-party rights and applicable laws.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. OpenAlan is an AI system that may make mistakes. You are responsible for verifying outputs before relying on them.

9. Limitation of Liability

Our total liability shall not exceed the amount you paid us in the 12 months preceding any claim. We are not liable for indirect, incidental, or consequential damages.

10. Dispute Resolution

These Terms are governed by Utah law. Disputes shall be resolved through binding arbitration in Salt Lake City, Utah. You waive participation in class actions.
